64-bit or 32-bit on 64-bit Win7?

Are there any significant differences (I'm assuming performance-wise?) between running a 32-bit Office 2010 and a 64-bit one, on a 64-bit Windows 7 system (where RAM is no issue)? Can a 32-bit Office 2007 be upgraded to a 64-bit 2010 at all?
